NORTH WEST TERMINAL LTD. SPECIAL MEETING OF SHAREHOLDERS TO VOTE ON PROPOSED TRANSACTION WITH BUNGE CANADA INC.

September 29, 2025 (Unity, Saskatchewan) — The board of directors (the “Board”) of North West Terminal Ltd. (“NWT” or the “Company”) announced today that it has filed its notice of meeting, management information circular (the “Circular”), form of proxy, and voting instruction form (collectively, the “Meeting Materials”) in connection with its previously announced special meeting of shareholders to be held in October, 2025 (the “Meeting”) to approve the sale of the Company’s grain business and related assets to Bunge Canada Inc. (“Bunge”) pursuant to an asset purchase agreement (the “Asset Purchase Agreement”) between the Company and Bunge dated September 19, 2025 (the “Proposed Transaction”). The Proposed Transaction does not include the sale of NWT’s fermentation & distillation business or its ownership interest in the Alliance Grain Terminal Ltd. in Vancouver B.C. The Company intends to continue to own and operate its fermentation & distillation business upon completion of the Proposed Transaction.

DETAILS OF THE MEETING

The Meeting is scheduled to be held at the Unity Community Centre in Unity, Saskatchewan, on October 22, 2025, at 1:00 p.m. (Saskatchewan time).

Shareholders will be asked to approve the Proposed Transaction at the Meeting.

Shareholders as of the close of business on September 25, 2025, are entitled to vote at the Meeting. At present, and due to the postal strike, NWT is unable to deliver physical copies of the Meeting Materials to Shareholders. Shareholders are encouraged to access the Meeting Materials electronically. The specific details of matters to be put before the Meeting are set forth in the Circular.

The Meeting Materials have been posted in full, and are available for review via the internet without charge, on the Company’s website at www.northwestterminal.com, Facebook at www.facebook.com/nwtunity, X at x.com/NWTunity, and under the Company’s SEDAR+ profile at www.sedarplus.ca.
